Welcome to MTANDAO® AFRIKA, a next-generation Pan-African Business Operating System (BOS) designed to empower entrepreneurs, merchants, service providers, and consumers through an intelligent digital ecosystem. MTANDAO® AFRIKA is proudly designed, developed, and operated by Overseas™ Corporate Ltd., an innovative technology company committed to building Africa's digital infrastructure for inclusive economic growth.

By accessing or using any MTANDAO® AFRIKA service, website, mobile application, merchant portal, delivery logistics system, or API, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions.

1. Scope of the Ecosystem & Services

MTANDAO® AFRIKA operates as an all-in-one digital corporate environment. The infrastructure integrates:

  • Digital Marketplace & NovaMall: Multi-vendor commercial retail spaces.

  • EcoMarket & Gourmet: Hyper-local, real-time consumer retail and fast culinary dispatch networks.

  • MTANDAO® Safe Pay: An integrated closed/open-loop digital transactional wallet enabling escrow-backed payments, balance top-ups, and peer-to-peer processing.

  • Logistics & Mobility (Mtandao Express & SmartRide): On-demand urban transportation routing, ride-sharing facilitation, and short-to-long term corporate fleet leasing.

  • AI Business Assistant: Automated algorithms providing predictive stock analytics, customer relations handling, and smart commercial accounting insights.

2. Regulatory Alignment, Eligibility & KYC/AML Compliance

To maintain account standing, all platform participants must explicitly guarantee:

  • Contractual Capacity: You must be a minimum of 18 years of age or a legally registered corporate entity possessing full commercial capacity under local regulations.

  • Identity Verification (KYC): Users and Vendors utilizing MTANDAO® Safe Pay agree to present legitimate government-issued identifications, corporate certificates of incorporation, and tax registrations upon request.

  • Anti-Money Laundering (AML): Overseas™ Corporate Ltd. enforces zero-tolerance compliance protocols against illicit trade, fraud, and money laundering. We cooperate directly with financial intelligence units and regional monetary regulators. Any suspicious movement of capital will prompt immediate asset freezing and structural suspension.

3. Account Responsibility & Security Integrity

Your security profile is your exclusive liability. Users must safeguard their authentication tokens, biometric logs, and wallet codes. Any operation performed via your verified terminal is legally deemed to have been executed by you. You agree to notify our security department at support@mtandaoafrika.com immediately upon identifying any breach of credentials.

4. Marketplace Rules, Prohibited Items & Vendor Obligations

All vendors deploying storefronts on our architecture strictly commit to the following operational mandates:

  • Legality & Authenticity: It is strictly prohibited to list counterfeit products, unapproved medical materials outside the strict scope of MTANDAO® Herbal, restricted chemical items, weapons, or unlicensed services.

  • Pricing Honesty: All catalog prices must remain fully transparent, highlighting taxes and mandatory commissions without hidden markups.

  • Operational Discipline: Orders accepted must fulfill standard processing timeframes. Failure to respect structural delivery slots will yield negative performance indexing and potential account tier demotion.

5. Financial Infrastructure & Safe Pay Rules

All financial payments executed within the platform are safely encapsulated via encrypted gateways. By utilizing MTANDAO® Safe Pay, you acknowledge that funds deposited are designated solely for valid micro-transactions, merchant clearings, or scheduled logistics payments. Overseas™ Corporate Ltd. is not a deposit bank; wallet features are backed by authorized, compliant settlement banking institutions across our territorial operations.

6. Automated Operations & Artificial Intelligence (AI) Disclaimer

The AI Business Assistant executes operational analysis using real-time enterprise metrics. While our algorithmic models maintain premium performance parameters, Overseas™ Corporate Ltd. does not guarantee absolute mathematical perfection regarding sales predictions or automated commercial templates. Final operational decisions rest entirely with the human enterprise administrators.

7. Intellectual Property & Digital Assets

The entire technological infrastructure, source code, visual design properties, algorithms, database logic, and the brand trademark MTANDAO® AFRIKA remain the absolute, exclusive, and unregistrable proprietary property of Overseas™ Corporate Ltd. No clause within these terms transfers any ownership rights to users or third-party developers.

8. Limitation of Liability & Warranty Exclusion

Overseas™ Corporate Ltd. provides the BOS architecture on an "as-is" and "as-available" blueprint. We deploy premium cybersecurity protection, yet we do not warrant that network services will remain completely uninterrupted by localized telecom blackouts, subsea cable severances, or regional power grids failures. Overseas™ Corporate Ltd. shall under no circumstances be liable for indirect economic deficits, revenue losses, or business disruptions encountered by platform vendors.

9. Jurisdictional Authority & Dispute Resolution

These Terms are governed by applicable regional commercial laws. Any structural litigation, conflict, or operational claim arising between a platform member and Overseas™ Corporate Ltd. shall be directed to specialized commercial arbitration courts, with the primary legal venue established in Douala, Cameroon.
